Terms of use
1. Acceptance
By accessing IRSnoticeDecoder (the "Site"), you agree to these Terms of Use. If you do not agree, do not use the Site. The Site is operated by a U.S. LLC (the "Operator") whose formation is currently in progress; the registered entity name will be published here once formation completes.
2. Informational only — not tax advice
The Site is an information hub. Nothing on it constitutes tax advice, legal advice, or accounting advice. We are not a Certified Public Accountant firm, not a law firm, not an Enrolled Agent firm, and not affiliated with the Internal Revenue Service. The Internal Revenue Service is the only authority that can resolve your IRS notice. You should verify any procedural information with the IRS directly or with a licensed CPA, Enrolled Agent, or tax attorney before acting.
We make reasonable efforts to source notice content from primary IRS sources (irs.gov detail pages, the Internal Revenue Code, Treasury Regulations, and IRS Publications), but the IRS revises its procedures from time to time. We disclaim warranties of accuracy and completeness to the maximum extent permitted by law.
3. No professional relationship
Use of the Site does not create an attorney-client relationship, an accountant-client relationship, an Enrolled-Agent-client relationship, a fiduciary relationship, or any other professional relationship between you and the Operator. Communications submitted through any contact form on the Site are not protected by attorney- client privilege.
4. Affiliate disclosure
The Operator may partner with third-party tax-software providers, certified public accountants, enrolled agents, and tax-resolution professionals (collectively, "Partners"). When the Site links to a Partner, we may receive a referral fee or commission. We exclude any Partner with an active FTC consent decree, an active state Attorney General consumer-protection action, or a Better Business Bureau pattern complaint, regardless of payout. We disclose Partner relationships near each Partner placement. Partners are not affiliated with the IRS; only the IRS can resolve your notice.
5. Acceptable use
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Site or its underlying systems; (c) use automated scrapers, crawlers, or bots that violate the robots.txtdirectives published by the Site; or (d) reproduce, redistribute, or commercially exploit the Site's content without permission, except for reasonable, non-commercial fair use with attribution.
6. Intellectual property
The text, layout, design, source code, and original illustrations on the Site are the property of the Operator (or its licensors) and are protected by U.S. and international copyright, trademark, and trade-dress laws. Citations to IRC sections, Treasury Regulations, IRM sections, and IRS Publications are public-domain government content. The IRS letterhead, eagle, seal, and trade dress are not associated with the Site; we use a deliberately distinct visual identity.
7. Disclaimer of warranties
The Site is provided "as is" and "as available." To the maximum extent permitted by applicable law, the Operator disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of content. Tax procedures, deadlines, forms, and statutes change; you must verify any procedural specifics against primary IRS sources before acting.
8. Limitation of liability
To the maximum extent permitted by applicable law, the Operator and its officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of (or inability to use) the Site. The Operator's aggregate liability for any direct damages arising from these Terms or your use of the Site is limited to the greater of (a) one hundred U.S. dollars (US $100) or (b) the amount you paid the Operator in the twelve months preceding the claim — which, since the Site is free, is ordinarily zero. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the smallest amount permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Operator from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party right.
10. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. For any dispute arising from or related to these Terms or the Site, you and the Operator agree to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable consumer-protection law provides otherwise.
11. Changes
We may revise these Terms at any time. Material revisions will be flagged on the homepage for at least 14 days before taking effect. The effective date at the top of this page reflects the most recent revision.
12. Contact
A published contact channel for questions about these Terms will be added here once the operating entity's formation completes. We will not list a contact address that does not yet exist.
